Agreement Between User and the Sites Owned and Operated by GST Body

Welcome to www.gstbody.com. The www.gstbody.com website is comprised of various web pages that are owned and operated by Poetic Body Productions, LLC dba GST Body (“GST Body”), including but not limited to www.annarahe.com, www.gstvitalifestudio.com, annaraheofgstbody.com as well as blogs and a podcast (together, the “Sites”). The Sites are offered to you and conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms” or “Agreement”). Your use of the Sites constitutes your agreement to all such Terms. Please read these Terms carefully, and keep a copy of them for your reference.

Documents Incorporated Into These Terms

These Terms are the controlling agreement between you and GST Body. The following documents are incorporated into these Terms by reference and form part of this Agreement. By purchasing any GST Body service, product, program, event, or Retreat, you agree to all of them, whether or not you access each one separately:

Any release of liability, waiver, health disclosure, or registration form you are asked to complete for a specific service, class, event, program, or Retreat

The cancellation, rescheduling, and refund terms that apply to your purchase are set out in full in these Terms below. The Refund Policy page restates those same terms for convenience. In the event of any conflict between these Terms and the Refund Policy page or any other document, these Terms control.

If you are asked to sign a release of liability, waiver, or health disclosure form for a specific service or Retreat, that form applies in addition to these Terms and does not replace them.

Products Are for Personal (Non Commercial) Use Only

The Sites engage in e-commerce that makes available services, images, instruction, video and audio files, physical products, choreography, and information (together, the “Products”) related to physical wellness and exercise. You understand and agree that the Products are for your personal use only and that any commercial use of the Products is strictly prohibited.

Privacy

Your use of the Sites is subject to GST Body’s Privacy Policy. Please review our Privacy Policy, which also governs the Sites and informs users of our data collection practices.

Electronic Communications

Visiting the Sites or sending emails to GST Body constitutes electronic communications. By using the Sites and/or sending emails to GST Body, you consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and on the Sites, satisfy any legal requirement that such communications be in writing.

Your Account

If you use the Sites, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that neither GST Body nor the Sites are responsible for third party access to your account that results from theft or misappropriation of your account. GST Body and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.

Children Under Thirteen

GST Body does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use the Sites only with permission of a parent or guardian.

Cancellation, Rescheduling, and Refund Policy

This section sets out the complete cancellation, rescheduling, and refund terms for all GST Body services, programs, products, events, and Retreats. These terms are also published on our Refund Policy page. Where the two differ, this section controls.

Private Lessons and Discovery Calls

All private lesson and Discovery Call fees are non-refundable.

Discovery Call fees are applied as a credit toward any GST Body service purchased following the call. If you do not go on to purchase a service, the Discovery Call fee is not refunded.

Rescheduling by You

As a courtesy, you may reschedule a private lesson or Discovery Call one time at no charge, provided you notify us at least 24 hours before your scheduled appointment time.

Rescheduling requests made less than 24 hours in advance, and any second or subsequent rescheduling request, will forfeit the fee paid. To attend, you will need to book and pay for a new session.

Missed appointments with no notice (“no shows”) forfeit the full fee.

If an emergency prevents you from attending, please write to us at info@gstbody.com. We review these situations individually and may waive this policy at our discretion.

Cancellation or Rescheduling by GST Body

If GST Body needs to reschedule or cancel your private lesson or Discovery Call, we will offer you an alternative time. If you do not wish to accept the alternative time, you will receive a full refund of the fee paid for that session.

Retreats and Immersions

GST Body offers retreats, immersions, and multi day in person events (together, “Retreats”). Because Retreats require us to commit non recoverable funds to venues, lodging, food, staffing, and materials well in advance of the start date, the terms in this section apply to all Retreat registrations and supersede any general cancellation or refund terms stated elsewhere.

Deposit and Final Payment

A deposit of fifty percent (50%) of the total Retreat price is required to reserve your place.

The remaining balance is due sixty (60) days before the Retreat start date (the “Final Payment Date”). The Final Payment Date for each Retreat is published at the time of registration.

Your deposit is refundable up to the Final Payment Date. On and after the Final Payment Date, your deposit is non-refundable under all circumstances.

If your balance is not received by the Final Payment Date, GST Body may release your place and retain your deposit in full.

Cancellation by You

If you cancel your Retreat registration, the following schedule applies to the total Retreat price:

Sixty (60) days or more before the Retreat start date: refund of one hundred percent (100%) of amounts paid.
Forty six (46) to fifty nine (59) days before the Retreat start date: refund of fifty percent (50%) of the total Retreat price. Your deposit is retained.
Forty five (45) days or fewer before the Retreat start date, or non attendance for any reason: no refund of any kind. By this point GST Body has committed the full cost of your place to venues, lodging, food, staffing, and materials.

Cancellation is effective on the date we receive your written cancellation at info@gstbody.com. Verbal notice is not sufficient.

Transfer Options

Transfer. Transfer your place to another person, subject to our written approval and provided the transfer is requested at least fourteen (14) days before the Retreat start date. The incoming participant must complete all registration, health, and waiver requirements. You are responsible for any financial arrangement between you and the incoming participant.

Emergencies

We recognize that serious emergencies happen. If an emergency prevents you from attending, write to us at info@gstbody.com with your circumstances. We review every request individually and may offer a credit or partial refund at our sole discretion. This is a courtesy and not a guarantee, and any accommodation offered in one case does not create an obligation in any other case.

Travel Insurance

We strongly recommend that all Retreat participants purchase travel insurance covering trip cancellation, interruption, medical care, and evacuation. GST Body does not provide or arrange insurance, and is not responsible for airfare, ground transportation, lodging booked independently, visa fees, or any other cost you incur in connection with a Retreat.

Cancellation by GST Body

If GST Body cancels a Retreat for any reason within our control, you will receive a full refund of all Retreat fees paid to GST Body. This refund is your sole and exclusive remedy and does not extend to travel, lodging, or other costs you have incurred independently.

If a Retreat is cancelled, postponed, relocated, or shortened due to circumstances beyond our reasonable control, including but not limited to wildfire, severe weather, natural disaster, road closure, loss of the venue, illness or incapacity of the instructor, public health orders, government action, or acts of God, GST Body will offer you a credit toward a rescheduled or future Retreat of comparable value. In these circumstances GST Body is not obligated to issue a cash refund and is not responsible for any travel, lodging, or other costs you have incurred.

Program Changes

Retreat schedules, activities, accommodations, meals, staff, and locations are subject to change. GST Body reserves the right to make substitutions of comparable value without refund.

Participation Requirements

Retreats take place in physically demanding and sometimes remote settings. You are responsible for evaluating your own medical and physical condition and for disclosing any relevant health conditions, injuries, allergies, and dietary requirements at registration.

GST Body reserves the right to decline or terminate any participant’s attendance, without refund, where in our sole judgment continued participation presents a risk to that participant, to other participants, or to staff, or where a participant’s conduct is disruptive to the Retreat.

Participants are responsible for their own travel to and from the Retreat location. Any transportation coordinated or suggested by GST Body is offered as a convenience only, and GST Body is not liable for third party transportation providers.

Photography, Video, and Likeness

GST Body may photograph, film, record, or livestream classes, workshops, programs, and Retreats for documentation, educational, and promotional purposes.

At registration you will be asked to select your media preference. You may choose full consent, limited consent excluding identifiable images of your face, or no consent to being photographed or recorded at all. GST Body will honor the preference you select. If you select limited or no consent, please also notify staff at the start of each session so we can position accordingly. You may change your preference at any time by notifying staff or writing to info@gstbody.com.

If you give consent, you grant GST Body a non exclusive, royalty free, perpetual, worldwide license to use, reproduce, edit, and publish your image, likeness, voice, and any statements or testimonials you provide, in any medium, including our websites, social media, email, print materials, course materials, and advertising. You waive any right to inspect or approve the finished materials and you understand that no compensation of any kind is due to you for this use.

Withdrawal of consent applies going forward only. GST Body will stop using your likeness in new materials and will remove it from channels we control as soon as reasonably practicable. Materials already printed, distributed to third parties, published by others, or in final production may not be recoverable.

In group settings, and despite reasonable efforts by our staff, incidental capture can occur in wide shots or during group activity. If an image or recording of you is published contrary to the preference you selected, write to info@gstbody.com and we will remove it from channels we control as soon as reasonably practicable.

Where a participant is under the age of eighteen (18), media consent must be given by a parent or legal guardian.

Products and Returns

Non Returnable Products

In person classes, coaching programs, Retreats, and digital or virtual content (including programs and videos) are not returnable. Retreat registrations are governed by the Retreats and Immersions section above.
Opened DVDs are not returnable unless defective.

Returnable Items

For eligible physical products, you must contact GST Body at info@gstbody.com to receive return authorization. Proof of purchase is required.

Requests for return must be made within 30 days of the original shipment date (as listed on the invoice).
Items must be returned within 30 days of receiving return authorization.
Returned products must be in original condition, including packaging.
If the product arrived damaged or incorrect, GST Body will cover return shipping costs. For all other returns, the customer is responsible for return shipping and any damage or loss during shipment.

Links to Third Party Sites and Third Party Services

The Sites may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of GST Body and GST Body is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. GST Body is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by GST Body of the Linked Site or any association with its operators.

Certain services made available via the Sites are delivered by third party sites and organizations. By visiting the Sites, you hereby acknowledge and consent that GST Body may share such information and data with any third party as needed to provide the requested product, service or functionality on behalf of www.gstbody.com users and customers.

No Unlawful or Prohibited Use and Intellectual Property

You agree that all Content and Products available through GST Body and the Sites are for personal use only, and that any commercial use of the Sites, Content and Products is strictly prohibited and in violation of both this Agreement and intellectual property laws in the United States.

You are granted a non exclusive, non transferable, revocable license to access and use the Sites, Content, and Products strictly in accordance with these terms of use. As a condition of your use of the Sites, Content, and Products, you warrant to GST Body that you will not use the Sites, Content, and Products for any purpose that is unlawful or prohibited by these Terms. You may not use the Sites in any manner which could damage, disable, overburden, or impair the Sites or interfere with any other party’s use and enjoyment of the Sites. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Sites.

All Products and other material found on the Sites, including but not limited to text, speech, graphics, logos, images, software, as well as the compilation thereof, and all methods, choreography, information or demonstrations, of or related to physical exercise or movement taught or discussed on the Sites, in person, at any Retreat, or in any video or digital platform (together, the “Content”) is the property of GST Body and protected by copyright and other laws that protect intellectual property and proprietary rights. You understand this and agree to abide by all copyright and other proprietary rules, legends or other restrictions contained in any such content. You also agree not to make any changes to any Content on the Sites, and not to reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the Content and Products, in whole or in part, found on the Sites. GST Body Content and Products are not for resale. Your use of the Sites does not permit you to make any commercial or otherwise unauthorized use of any Products and/or Content, nor does it permit you to delete or alter any proprietary rights or attribution notices in any content. You agree to use the Products and/or Content solely for your personal use, and will make no other use of the Products and/or Content without the express written permission of GST Body. You agree that you do not acquire any ownership rights in any protected Content or the Sites. GST Body does not grant you any licenses, express or implied, to the intellectual property of GST Body or our licensors except as expressly authorized by these Terms.

Recording, photographing, or livestreaming instruction, sessions, or Retreat programming is not permitted without the prior written consent of GST Body.

Third Party Accounts

You may be able to connect your GST Body account to third party accounts. By connecting your GST Body account to your third party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party sites). If you do not want information about you to be shared in this manner, do not use this feature.

International Users

The Sites are controlled, operated and administered by GST Body from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the GST Body Content accessed through www.gstbody.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

International Retreat participants are solely responsible for obtaining any visa, travel authorization, or documentation required to attend. Failure to obtain required travel documentation is not grounds for a refund outside the cancellation schedule set out above.

Indemnification

You agree to indemnify, defend and hold harmless GST Body, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney’s fees) relating to or arising out of your use of or inability to use the Sites or any Content, your attendance at or participation in any Retreat or in person program, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. GST Body reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with GST Body in asserting any available defenses.

Arbitration

You and GST Body (together, the “Parties”) agree to attempt to resolve any dispute arising out of or relating to this Agreement promptly by confidential mediation before resorting to arbitration or litigation. If the dispute has not been resolved by mediation within 90 days of the initiation of mediation, the Parties are free to pursue arbitration. Each Party agrees to bear its own costs, including but not limited to any mediator and/or legal fees, related to any mediation.

In the event the Parties are not able to resolve any dispute between them arising out of or relating to the Terms, whether in contract, tort, or otherwise at law or in equity, whether for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event of an arbitration, the prevailing party shall be entitled to recover its costs arising out of the arbitration, including but not limited to arbitration fees and reasonable attorney’s fees. The Parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions.

Class Action Waiver

Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and GST Body agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

Liability Disclaimer

GST Body specifically DISCLAIMS LIABILITY FOR ANY INJURIES OR DAMAGES and assumes no responsibility or liability for any injury, loss, or damage suffered by any person as a result of the use or misuse of the Sites or any GST Body Content or Products, or as a result of attendance at or participation in any Retreat or in person program. Poetic Body Productions assumes or undertakes NO LIABILITY for any loss or damage suffered as a result of the use or misuse of any Content and/or Products or any reliance thereon, whether used in person or through the Sites.

USE AT YOUR OWN RISK: The Sites are for informational purposes only. Consult a physician before performing this or any exercise program. It is your responsibility to evaluate your own medical and physical condition and to independently determine whether to perform, use or adapt any of the Products and Content on the Sites. Any exercise program may result in injury. By voluntarily undertaking any exercise displayed on this website or offered at any GST Body program or Retreat, you assume the risk of any resulting injury.

ALL PRODUCTS AND CONTENT AVAILABLE THROUGH THE SITES MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. GST BODY MAY MAKE CHANGES TO THE SITES AT ANY TIME.

GST BODY MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, OR ACCURACY OF THE PRODUCTS AND/OR CONTENT ON THE SITES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH PRODUCTS AND CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. GST BODY DISCLAIMS ALL WARRANTIES AND CONDITIONS RELATED TO THE PRODUCTS AND CONTENT, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GST BODY BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR INJURY, PRODUCT FAILURE OR BREAKAGE, LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY RELATED TO GST BODY’S PRODUCTS OR CONTENT, OR USE OF THE SITES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF GST BODY HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IF YOU ARE DISSATISFIED WITH THE SITES, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITES.

Termination and Access Restriction

GST Body reserves the right, in its sole discretion, to terminate your access to the Sites, Products, or Content at any time, without notice. This Agreement is governed by the laws of the State of Colorado and you hereby consent to the exclusive jurisdiction and venue of courts in Colorado in all disputes arising out of or relating to the use of the Sites. Use of the Sites is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and GST Body as a result of this Agreement or use of the Sites. GST Body’s performance of this Agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of GST Body’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Sites or information provided to or gathered by GST Body with respect to such use. If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this Agreement, together with the documents incorporated by reference above, constitutes the entire agreement between the user and GST Body with respect to the Sites, and GST Body Products, Content, and Retreats, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and GST Body with respect to the same. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Changes to Terms

GST Body reserves the right, in its sole discretion, to change the Terms under which the Sites operate and are offered. The most current version of the Terms will supersede all previous versions. GST Body encourages you to periodically review the Terms to stay informed of our updates.

Changes to these Terms are not retroactive. The Terms in effect on the date of your purchase or registration govern that purchase or registration.
